>>I see this acquisition as a future major cash drain in addition to the immediate encumberance of good will on Millenium's financial statement>>

It seems to me as if you have a invested your funds with a rather poor understanding of Millennium's strategic goals as well as of the investments in product development, that are required for companies operating in the sector. It is very difficult - if at all possible - to find development stage biotech companies who are able to run their activities in a cash-flow neutral or positive way.

Unfortunately, there is no way one can decide in advance if this type of transaction will turn out positively or not. Management's past record in similar transactions might give an indication how the company will perform in the future, but as each transaction is different there are at this point in time no definite answers.

There are fortunately no indications that BMY's management in any way is involved in this acquisition. So your concerns in that respect seem to me to be unfounded.

If you are concerned about the decisions the company's management is taking the best option for you might actually be to sell the shares and look for investment in other types of companies, which better meet your investment criteria. If you vote yes or no will most probably not affect the outcome of the vote.

If you keep your investment after having lodged your protest in the form of a no-vote, I am afraid that you will just continue to be disappointed, as Millennium executes the business plan you don't seem to have completely understood or approved of.
