Unless someone presents a compelling reason to vote yes on the proposal, I'll be voting no. On the one hand, I'd have thought that Glass would have found a partner by now and am not thrilled that a lot of months have gone by with no merger/sale/buy. OTOH if they do a significant one time dividend they probably won't have enough money to pay for the SEC filings, atty. and acct. fees, etc. without dipping into the cash. I'd rather have a cash neutral or positive situation. Interesting that Berg doesn't mention the tax loss stuff this time around.
