Dalsa, yes the $10.24 you see is Canadian $. Price/Sales around 1 (actually a tad below basis is company guidance for Rev. in FY2002 plus the revenue levels from the 2 acquisitions announced). There's a US outfit with smaller gross margins in the same sector called Omnivision (NasdaqNM: OVTI). That was lifted from PSR 1 to PSR 5 (to $12) after some analyst upgrades. When DSA.TO transfers to the Nasdaq the same valuation formulae should apply. Make that a longterm target for DSA.TO between CAN$ 30-50 (applying OVTI's valuation)

On MAXF - your logic makes sense. But if their plan is to sell it to the highest bidder then maybe it's better to be a traded entity. You can try to "prop it up" and then sell it - at even higher prices.. Huge insider ownership is always a plus in such games because nobody could force you to sell for less than you have in mind (no take-under possible here)

DALSA Corporation Enters Into Agreement For A Cdn$20 Million Bought Deal

15:48 EST Thursday, January 24, 2002

DALSA Corporation (TSE: DSA), announced today that is has entered into a bought deal agreement with a syndicate of underwriters led by led by Yorkton Securities Inc. Under the agreement, the syndicate will purchase 2,000,000 Special Warrants of the Company at a price of Cdn$10.00 per Special Warrant, resulting in gross proceeds to the Company of Cdn$20,000,000. Each Special Warrant will entitle the holder to receive one Common Share of DALSA without payment of additional consideration. The proceeds from the offering will be escrowed on closing, for release to the Company on the closing of its announced acquisition of the Bromont facility from Zarlink Semiconductor Inc. The offering is expected to close on or about February 4, 2002.

DALSA is an international digital imaging solutions company which designs, develops, manufactures and markets high performance image sensors, electronic cameras and vision systems.

The transaction is subject to the receipt of all necessary regulatory and stock exchange approvals.
