En route to looking for other things, I noticed that in addition to the payments from Tyco, Walsh also owned 50,000 CIT shares at the time of the acquisition by Tyco.

Far from consulting Tyco on this acquisition, Walsh should have been recused from the discussions. The conflicts in this are astounding.

Well, according to my broker TYC's position is that the director facilitated the acquisition under terms more favorable then it might have otherwise gotten, but like everyone else, after ENRON and GX people have gotten pretty gunshy. However, if the truth IS being told then TYC should earn about $3. a share this year making current price highly favorable. jdn
