I think that Kozlowski's arrogance in this situation is making things worse.

If Kozlowski had expressed at least a small amount of contrition, had said that they were wrong in the transaction (because they were), then the market may have been at least a little more forgiving.

No, instead he says that they disclosed it properly and that the payment was well justified. I have spoken to a half dozen people over the past two days who are outside directors of S&P 500 companies, and none of them can ever recall a payment like this. The fact that the guy owned shares in the target company just pushes things over the edge.
