High River Gold Mines Ltd. Announces $10 Million Unit Offering

TORONTO, ONTARIO, FEBRUARY 1, 2002 (CCN Newswire via COMTEX) -- (HRG) - HIGH RIVER GOLD MINES LTD. is pleased to announce that
it has entered into an agreement with Sprott Securities Inc. pursuant to which Sprott Securities Inc. has agreed to act as lead agent in connection
with an offering of up to 11,111,112 Units of High River, on a "best efforts" basis, at a price of $0.90 per Unit for aggregate proceeds to HIGH
RIVER of approximately $10,000,000. Each Unit consists of one common share of HIGH RIVER and one-half of one common share purchase
warrant. Each whole warrant is exercisable to acquire one common share at a price of $1.20 for a period of 12 months. The offering is scheduled
to close on or about February 18, 2002 and is subject to certain conditions including, but not limited to, satisfactory due diligence and the receipt
of all necessary approvals including the approval of the Toronto Stock Exchange.

The securities offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United
