UTStarcom/Softbank -2: UTStarcom, Mgmt Won't Sell Any Stk
ALAMEDA, Calif. (Dow Jones)--UTStarcom Inc. (UTSI) will file a registration
statement with the Securities and Exchange Commission within the next week to
register 10 million common shares held by Softbank America Inc.
The shares will be sold in an underwritten offering, UTStarcom said in a
press release Wednesday. Neither UTStarcom nor management intends to sell any
of its shares in this offering.
As part of this registration, Softbank Corp. has agreed to sign a 180-day
lock-up agreement, prohibiting the sale of any additional shares during that
period.
Softbank Corp., the largest shareholder of UTStarcom with about 40% of
total shares outstanding, has indicated its intention to sell these shares is
based on their desire to increase their cash position for general operating
purposes.
