Last November, the SEC filed a lawsuit against four former Nvidia employees
charging them with illegally trading Nvidia shares after they received early
news that Nvidia had won a contract to supply chips for Microsoft Corp.s'
(MSFT) Xbox video-game system. The SEC alleges the employees along with 11
others earned more than $1.7 million in illicit profits.

Nvidia said Thursday that in connection with the SEC's previously announced
investigation of alleged insider trading by the non-executive employees,
Nvidia provided e-mails and other materials to the SEC for the period from
December 1999 to March 2000.

Based on its review of these materials, the SEC informed Nvidia in January of
specific questions relating to the recording of reserves in the fourth quarter
of fiscal 2000 and the first quarter of fiscal 2001. In addition, questions
were raised about the possibility that certain product costs of up to $3.6
million should have been recorded in the first quarter of fiscal 2001, but were
recorded in the second and third quarters in that same year.

On Thursday, the company reported fourth quarter pro forma earnings of 43
cents a share, above the consensus estimate of 34 cents, on revenue of $499.9
million.
