<<A simple answer is that is what it took to get her back. They say she knows the business. She should considering the amount of years she's been there. Can she turn this around?I'd say give her time before deciding she's over compensated.Did you stop to think she may be a great bargain?>>

Hi, Dave. I agree; she might be a great bargain. I hope she turns out to be a helluva bargain. If she produces outstanding results, I say shower her in compensation. I might even send a personal check. ; )

I've never said she was overpaid. Russo's got my support 100%. What I said was it seemed very odd to announce 'incentive payments' and then to say that they are to be paid even if the performance results established are not met. An instant and wide-spread, "Huh?" My point was why not just take the simple and straight-forward path and call it base salary? No "Huh?" to that; clearly understood.

Perhaps there are some tax or other advantages I'm not aware of for doing it the way they are. At a time when investors are easily spooked by anything that looks, sounds, or smells unusual, why not be as straight-forward as possible?

Maybe I'm just not getting it. Any clarification appreciated.

....VVVVVVV (long, simple and straight-forward, no 'agenda' beyond trying to understand how my money is being used by those who are the stewards for the company owners, the shareholders)

I don't have an issue with the compensation yet, willing to wait and see if we get out $$ worth. But I very much agree with Sabrejet that something that is guaranteed regardless of performance should never be called an "incentive". That kind of doublespeak is just insulting to the shareholders.
