Ah, here we go:

sec.gov

Per exhibit 7, the shares seem to be locked up as follows:

1/3 until Feb. 2003
1/3 until Aug. 2003
1/3 until Feb. 2004

Note that the agreement talks of 2 million shares, but the RFMD has since split, so that's how why we're now talking 4 million shares. Judging from today's action, it looks like TRW might be in the process of unloading the remaining shares it solely controls right now. If so, spectacular timing, no? No! Anyhow, if TRW's holdings go down to 4 million total, that should stop the bleeding from that source for a while. GSCO might be a stronger hand.

Cheers, Tuck
