TorF.. as promised resent the questions that weren't answered during the conference calls. Gotta say Jim Collier is at this point a refreshing change.. But then I also like Allen C..

The first 3 are mine and the rest were yours slighty changed this time.

Jim...thanks for your the candidness you have brought to the company!!
Really appreciate the Conference Call opportunities also and as you do more
of these they will get much better. I have broken my inquiries into parts
and understand that some of my questions you may not be able to touch but
hopefully most you can make comments!!

1) Can you comment on whether our technology has been licensed for the
MTV/Evolution/Dataplay/Edig player. And which technology would be inside.
The MicroOS, MicroCAM, AMIS or all of them..

All of the current DP music player designs contain our Micro OS as well as a
specially developed class driver and content key technology support.

2) In regards to the above would the technology involved be typical of all
our dataplay enabled devices?

Yes.

3) Will edig be receiving revenues from the Classic Players sold at Circuit
City stores during Dec of 2001? If yes will those be NRE, royalty or license

rev!!!

Our agreement with Musical provides for both NRE development fees and per
unit royalties on players sold.

4) Can you comment on what kind of revenue arrangement is in place for the
player that e.Digital is developing in "collaboration" with Eclipse by
Fujitsu-Ten? Is e.Digital being paid by Fujitsu-Ten or developing this
product at its own risk? If e.Digital is developing the unit at risk, does
it hope to sell it to Fujitsu-Ten and be paid per-unit royalties? Would
e.Digital be an OEM for the unit and sell it to the aftermarket?

The development of products with Fujitsu 10 is under NDA, but all of
referenced revenue opportunites are open.

6) I was curious as to why there was no mention of the $1 million loan made
at the annual meeting of the shareholders on 11/6/01? How many lenders were
involved 4 (as quoted by RP in the Bloomberg article) or 7 (as reference in
the loan filing)?

The proceeds of the loan were used to finance initial product inventories
and to cover certain development and acquisition costs of the products.
There was no intent to mask the loan. However, we were not ready to disclose
the extent of our business plan at that time. It was important to establish
credibility that we could do what we promised. We felt that announcing the
loan at the SHM would make that the major focus and become a distraction
from our message: That we have embarked on a major new direction for the
company and we were executing it on schedule. The loan was made public as
required, and has since been discussed at length. I'm only aware of 4
investors, but that doesn't mean that there aren't others partnered with
them.

7) Do you have the full name of the lender of the $1.2 million and how we
can find information on this entity? Is it a foreign corporation? If so,
where is it incorporated?

I'm not at liberty to discuss this at this time.

8) How difficult do you think the impending increase to 151 million shares
outstanding will make it for us to reach and sustain the share price of at
least $5 to reapply for a NASDAQ listing as was reference in the letter of
2/11/02?

I think that this will enable us to execute our plans to increase revenues
to the point that the underlying value of the company will justify the price
required for NASDAQ listing.

9) Did e.Digital have a period of negative shareholder equity (net worth)
prior to the new shares?

That is an accounting question that should be directed to the CFO.

10) The Treo10 has been rumored to have been sold to two liquidators?
What was the thinking behind this move or is this a false claim?

We have not sold any products to liquidators. We have a reseller program
that sell to a variety of resellers in North America and Europe. I believe
that you may be referring to reports of some products being sold through
eBay stores. This has been falsly reported as liquidation, when in fact,
these are legitimate resellers who also have brick and mortar outlets.

11) What was the actual date in 2000 that e.Digital submitted its
application to NASDAQ for a national listing? Was it the date of the press
release - 2/3/00? If so, why were the 3 executives able to sell option
shares immediately after submitting the application? If the application was
delayed what was the date of the actual submission and why didn't e.Digital
let shareholders know about the delay?

I joined e.Digital on April 23, 2001. I cannot address the actions of anyone
here prior to that date.
