THE NEAR TERM OUTLOOK

I suspect that the near-term outlook for BOTH companies was sufficiently unhappy that it was a major catalyst for this deal to happen in the first place.

I very much doubt that what is becoming public knowledge now was not fully shared by both parties. Not to do so would be an incredible breach of "business morality" and trust that could turn out to be a deal-killer at a later time.
