Of the 20 to 23% of the shareholders influenced by ISS, are the index funds also included in this? (Vanguard)

Why would an index fund vote for/or against the merger?

The employee vote is skewered. Upper managers of HWP hold thousands of times the number of shares than do the lowest eschelon workers.

Anyone have a good count of Mutual funds for/against the merger that are not ISS clients?
