Much has been made on this board of the differences in corporate culture between the parties to the prospective merger. In today's NYT business section, there is an interview with Lou Gerstner. Here is a summary of part of that article dealing with corporate culture:

Gerstner argues that corporate strategy and corporate culture are inextricably connected. Culture won't change simply because of talk. "You can't talk a culture into changing." Only clear articulation of the fundamental strategic changes that must be implemented, followed by execution of that strategy, will change the corporate culture. As I read it, he is saying that a good strategic plan followed by relentless execution of that plan will, in and of itself, change the corporate culture.

Incidentally, his plan ultimately led to the departure of 35,000 employees which, when added to earlier downsizing of 25,000, brought the headcount reduction for 1993 alone to 60,000. Nine years of IBM history since Lou's arrival and the recovery of IBM's share price have demonstrated that Lou's plan worked.

The article begins on the first page of the Money&Business section and is worth reading in its entirety, IMHO, especially for the lessons to be learned which might be applicable to the HWP-CPQ merger.
