Is this true? My major investor merger experience is with bank stocks and I can't remember the premium paid for DEC. As I recall, people here were not exactly jumping for joy when HWP/CPQ first announced their intentions. The offered 0.6325 HWP/CPQ share sure didn't look high to me, although I don't recall the prices of CPQ and HWP back then to get the premium at that point. As of yesterday's market closing prices, however,CPQ shares would be valued at 13.02, slighly over a 10% premium.

I must be missing something.
