Your are clearly misreading here. The statement "at a customary discount to market, in exchange for the amounts funded" is referring to Berg's "usual" arrangement with VLNC. You are way off base with the suggestion of a leaky floorless. This is simply not the case. Call them, don't irresponsibly make this claim! Might you be a wee bit short here... again??????

Please explain...if your "Berg shorting" theory is true, how Berg would allow a Board Director to load up on shares right before the announcment of the financing...

IMO...it makes your floorless theory quite unlikely..or Berg a complete A-hole in the face of his board.

I seriously doubt it....

I understand what you're saying, but in this case you need to take Berg's historical relationship with VLNC into account. He's not Castle. He's not a hedge fund knocking and scheming at the door. The manner in which he's conducted himself in the past suggest one need not be overly concerned with hedge fund style action.

'Course....having said this I'll also have to admit that history is always 20/20 backwards vision. One can never be sure it'll hold true into the future. But even so, though I be bound to the sidelines, Berg's past actions suggest he'll not be pursuing hedgie styled tactics. Be that as it may the proof will only come with........time.
