E.ON's US targets could be Cinergy, Allegheny, PPL//(report AFX News (AX) 03/22/2002)

LONDON (AFX) - E.ON AG is interested in buying power companies Cinergy Corp, in Cincinnati; Allegheny Energy Inc, in Hagerstown, Maryland; and PPL Corp, Allentown, Pennsylvania, the Wall Street Journal reported, citing energy analysts.

E.ON chief executive Ulrich Hartmann said at a news conference in Duesseldorf yesterday that the company plans to buy at least two electric companies in the Midwestern US.

The three companies named above are"vertically integrated" power companies that operate power plants, own transmission lines and deliver electricity to end-customers, the paper said in its online edition.

E.ON has established a Germany-based investment vehicle, headed by chief financial officer Hans-Michael Gaul and a UK executive, Edmund Wallis, to work with investment bankers and carry out deals in the US, the Journal cited people familiar with the matter as saying.

The men have spent a good bit of time in the US laying the groundwork for further acquisitions, these people said.

Other analysts said TXU Corp, Dallas, American Electric Power Co, Columbus, Ohio, and Dominion Resources Inc, Richmond, Virginia, were potential but less likely targets.

Hartmann said yesterday E.ON would look for electric companies near LG&E in the Midwest, where coal is an inexpensive energy source and energy regulation is favorable.

"We have said we certainly want to make two or three additional acquisitions," Hartmann said, and added, "We still have big plans for the current year."

Hartmann declined to comment on any potential targets, repeatedly pointing to the SEC's still-incomplete review of the LG&E deal.
