"(a) would AMD really share this type of IP?"

Good question. I don't really know what UMC is getting out of the deal. I will point out that it is a reasonable way for AMD to leverage their investment in Alchemy for example. For the smaller manufacturers, they could offer their merchant designs. For larger OEMs, either do a custom design or license the IP. Working with UMC would facilitate the last two. I doubt if they will do this with the Hammers, but it would be a great way to wring some more life out of Barton. Anyway, this approach is consistent with their "Virtual Gorilla" strategy.

"does UMC do product design or only fab for others?"

The foundries are offering more and more design services, they have to. But more importantly, they need to have the expertise in making that type of circuitry. UMC is already offering two flavors of their process, one aimed at high(er) performance, the other at low power.
