There's been an interesting, sincere, even self-critical discussion of VNWC on Yahoo. Only recently has this group of VNWC watchers, of which I've been part since late August, become aware the Hamouth Group is buying VNWC shares in the open market. We're as mystified as anyone why.

Many of us believe VNWC already sports a proven technology that's shown reasonable signs of acceptance, this in a troubled market. Deloitte and Touche, Hale and Door, MassHighTech.com together ranked the company second fastest-growing in New England; 57th nationally. There's other feathers in the VNWC cap.

What lured me to VNWC was that it was a Nasdaq videoconferencing stock seemingly poised to do well, this gleamed from information by the growth award; that it was headquartered in a highly reputable location (former Air Force SAC Pease AFB) and ushered into it by a stringent economic commission which became the Pease International Tradeport. Moreover, its military, educational, judicial and media contracts shine impeccably.

Anyway, the bad economic climate worn on and ultiamately affected the company, and the small float trading made the stock very volatile. Then 9/11 hit, some contracts got stalled and the overall combination of finances, trading fluctuations, a delisting with a reverse split, among other things, all have served to place the company in a delicate position.

Enter the Hamouth buying group going on public record stating an intention to buy as many shares as possible.

Regarding prospects of the company? Well, video security resulting from 9/11 seems to have complemented VNWC's videoconferencing technology; and America seems hungry to have a police state. Not good! But from a stock market point of view, markets do seize opportunity.

Regarding the wait? You join several who're holding similar seats, most of whom own stock. Me? I got warrants. Maybe they'll go good; maybe not. I sure hope so.

Nice to hear that the addition of Hamouth to this company as a shareholder will probably cause the price to go higher. Lord knows it needs something. Many of us are still trying to figure out the logic that has caused the disconnect between how a company that Deloite Touche ranks as 57th fastest growing company, just a few months ago, with over a 5000% revenue growth for the last five years to some $13 million this past year has also seen its adjusted stock price decline from well over a thousand dollars a share to the current $3.00. And in the mean time has seen Fortune 500 companies and the US Government for both Military and Educational use, embrace the Company's proprietary technology.

Since you seem to know Hamouth, can I ask you a few questions?

In all these other issues you claim he was involved in, have you ever seen him file a 13d with his open market purchases, listing his purchase prices, a good bit of which was bought around the current stock price?

You mentioned quite a few issues he was supposedly involved in, but try as I might, I can't seem to find any info on most of these companies to either confirm or deny your accusations, except perhaps CDDD. But in this case, the only thing I can find that ties him in is some chat board chatter that you posted. You say one of his "trademarks" is merging his companies into other public entities. Did he do that in CDDD. And if so, forgetting about the current price of that stock, was the technology that is in CDDD bogus in your opinion? Or just a legitimate technology under development that just hasn't made it yet? I say this only because it appears that many millions of dollars seem to have been put into that Company over the past few years by what appears to be legitimate VC sources from what I can tell.

To your knowledge has he ever been convicted or been involved in any consent decree or settlement with any Securities Regulators on either side of the Border?

We have all made some bad investment decisions in the past and once in a while get lucky and make a good one or two. Is there any chance, in your mind, that Hamouth’s investment in this company might be based on the fact that he thinks this is just a good speculative investment? After all, he not only has put a lot of good money in this company, but he has also spent money on legal fees by filing a lawsuit to try to stop management from awarding themselves a lot of cheap Employee Stock Options. A fact that should show that he is probably not “in bed” with management.

You say you are in the "middle" of researching this company. Other than the fact that you think the stock will go up from around this level, and the obvious fact that they need a cash infusion, have you found anything illegitimate so far?

Assuming that all this Company is lacking is a need for marketing capital, in your opinion, does Hamouth have the financial wherewithal to provide it if necessary.

Is it fair to assume that when you finish researching this company, you will provide us with a fair opinion of the company, your mind not clouded by the fact that Hamouth is a large investor?

Do you know him personally?

I think I can speak for many shareholders here, that any "fair and balanced" opinions you can provide on the Company will be appreciated.
