They probably thought they were effectively issuing new shares, and above the then current market. No reason to think they weren't caught up in the bubble too.

I believe MLNM issued convertible bonds at about the same time and ABGX just recently issued a convert. The ABGX converts might be interesting. It was not available to the public but will be registered for public sale in the future.
