SEC, US Attorney query Hewlett-Packard on Compaq deal

NEW YORK, April 15 (Reuters) - Hewlett-Packard Co. (NYSE:HWP - news) on Monday said it had been contacted by the U.S. Attorney's Office and the Securities and Exchange Commission for information related to its March 19 shareholder vote on its proposed purchase of Compaq Computer Corp. (NYSE:CPQ - news).




HP has said that it has won that vote by a slim margin but is waiting for a final tally. The merger is also on hold as HP prepares to defend itself in court against dissident board member and shareholder Walter Hewlett, who filed a lawsuit against it alleging that the company effectively bought votes from a large shareholder.

HP spokeswoman Judy Radlinksy said it had revealed the information in a regulatory filing with the SEC.

``We have long-standing relationships with Deutsche Bank as well as with many other institutional shareowners. Some of them voted for the merger, others against, some split their votes, and others changed their minds -- in both directions. We never acted improperly. We remain optimistic that we can close the merger on our current schedule,'' Radlinsky said in a statement.

HP said that on April 10 it received a subpoena to produce information from the U.S. Attorney's office for the Southern District of New York concerning the voting by Deutsche Bank and North Trust.

HP also said that the San Francisco office of the SEC had contacted it informally, requesting the voluntary provision of documents and information related to its solicitation of votes from Deutsche Bank and affiliated parties regarding the merger.
