Dear Charles: Not sure. What I do know is that even if a person didn't actually vote, his/her 'vote' was cast such that all the outstanding shares ultimated voted.

Speaking about the CPQ vote, people who did nothing had their shares counted as AGAINST the merger. I assume the same held for HWP.

Charles - With HWP, it was a majority of the votes CAST. CPQ was shares outstanding. There was a fair amount of attention paid to this early on.
