Looks to me like the 12-month disclosure is intended to be a solution "going forward," as they say - or closing the proverbial barn door after the cow has already been delisted, as someone else might say.

12 months applies to how far back certain disclosures will reach. It has nothing to do with any settlement of wrongdoing. The deal on disclosures serves to meet a court order.
