Hewlett Faces Tough Task In His Court Battle Against H-P

PALO ALTO , Calif. -(Dow Jones)- There is no underestimating the legal task Walter Hewlett faces next week in his attempt to scuttle Hewlett-Packard Co .'s ( HWP) planned merger with Compaq Computer (NYSE: CPQ - news) Corp. (CPQ).

Vote-buying claims of the magnitude he alleges are rare, and, with the difference in the merger vote looking like a formidable 45 million shares, a court victory still might not turn the proxy fight in his favor.

Even Judge William Chandler III has told him it won't be easy. Winning, the judge wrote in an April 8 opinion, will require the "significant burden" of producing convincing evidence during the three-day trial that begins Tuesday in Delaware Chancery Court....
