=DJ Walter Hewlett -2: Will Continue To Monitor H-P >HWP
By Donna Fuscaldo Of DOW JONES NEWSWIRES

NEW YORK (Dow Jones)--Dissident Hewlett-Packard Co. (HWP) board member Walter Hewlett said Tuesday that his camp will review the court's written opinion on the lawsuit aimed at derailing the merger of Hewlett-Packard Co. and Compaq Computer Corp. (CPQ) and decide on a course of action.

In a prepared statement, Hewlett, son of one of the late co-founders and the sole board member to oppose the merger of H-P and Compaq, said "while we are disappointed with the court's decision, we are grateful that it heard this case on such an expedited timeframe."

A Delaware state court Tuesday dismissed Hewlett's lawsuit against H-P. Judge William Chandler III of the Delaware Court of Chancery ruled that the plaintiffs "failed to prove that H-P management improperly enticed or coerced Deutsche Bank into voting in favor of the merger."

In his statement Tuesday, Hewlett said regardless of his decision on the ruling, "my involvement with H-P will not end today. As Chairman of the William and Flora Hewlett Foundation and as a trustee of the William R. Hewlett Revocable Trust, I represent two major stockholders and I will continue to monitor the company's performance to ensure that it act in the best interest of all stockholders."

Officials at H-P weren't immediately available for comment.

Too bad for Dell:

" ... We're very much relying on gaining market share..., Dell told analysts and investors at a conference here sponsored by brokerage Merrill Lynch."

Since they aren't going to gain the market share they are relying on, I'd expect an incremental reduction in the growth rate at Dell and further pressure on recovery in its stock price while investors observe whether or not the HWP/CPQ merger execution runs into trouble. Dell shares have held up remarkably well during this downturn in the industry. However, if HWP/CPQ decide to start blowing out their current inventory to augment cashflow pending divisional consolidation and operating unit re-focus, then the industry will have trouble gaining much price control.

The result is good for Dell if the new company (HWP/CPQ) starts to implode, but if the transition team executes well, then Dell will have a pretty hard time without seeking a merger of its own.

The landscape is changing on a large scale.
