The proceeds of the private placement will be used to finance a portion of the current work program on the Platosa/Saltillera properties, Mexico, to pay outstanding accounts payable and for general working capital. The private placement is subject to acceptance for filing by the TSX Venture Exchange. This financing replaces the previously reported private placement of up to 5.8 million common shares at a price of 20 cents per common share, for total proceeds of $1.16-million. These securities will not be registered with the U.S. Securities and Exchange Commission and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
