Business Description :
The investment objectives of the Company are:
Dividends: to provide holders of the Senior Preferred Shares with quarterly fixed cumulative preferential dividends of $? per Senior Preferred Share, representing a yield on the offering price of the Senior Preferred Shares of ? % on an annualized basis;
Capital Repayment: to return the original offering price of $25.00 per Senior Preferred Share to holders of Senior Preferred Shares on December 31, 2009; and
Capital Appreciation: to maximize the value of the Portfolio Shares for the benefit of the holders of all outstanding shares of the Company.
Investment Strategy
The Company will seek to achieve its investment objectives by investing in a portfolio consisting of preferred shares diversified by issuer, industry and payment type. All of the Portfolio Shares will be listed for trading on a recognized exchange. On closing, the Company will use the net proceeds of this offering and the proceeds from the concurrent offering of Capital Shares to purchase the initial Portfolio. The composition of the Portfolio will vary, from time to time, based upon management's assessment of market conditions.
