Dutch VNU To Take Over E-Ratings.com

AMSTERDAM -(Dow Jones)- Dutch information vendor VNU NV (N.VNU) said Wednesday that its Internet audience measurement unit NetRatings Inc. (NTRT) will buy an 80.1% stake in ACNielsen E-Ratings.com for $9.6 million worth of NetRatings stock.

NetRatings, which already owned the other 19.9% of ACNielsen E-Ratings, is 64% -owned by VNU.

ACNielsen E-Ratings is an Internet audience measurement company operating outside the U.S. It is currently 80.1% owned by TV ratings company ACNielsen Corp. (X.ACX). AC Nielsen is, itself, a unit of VNU.

VNU said E-Ratings would complement NetRatings' U.S. activities.

NetRatings will pay for E-Ratings with 749,341 new shares, but VNU said it will maintain control of the company despite the dilution.

In a separate transaction, VNU said it has settled a patent lawsuit with competing Internet measurement company Jupiter Media Metrix Inc. (JMXI) for $15 million, and will pay Jupiter an additional $2 million to take over Jupiter's European Internet measurement contracts.
