Can't comment on this one, but I would try and get a feel for the management of the new entity and how will the relationship with the parent affect the management of the fund. A similar (in some ways) relationship might be O&Y and O&Y units.

With all the new trusts I'm expecting the Government to step in somehow and try and stop them, the biggest loser here is the Govt who is losing tax revenues.
