You are technically correct. The selling shareholder is ultimately responsible for filing the Form 4. However, in the real world, it is the corporations and more particularly, the lawyers hired by those corps. who advise the Boards who are the parties who make the filings. Late filings of Form 4's are more common than the demolib spin would lead one to believe. Moreover, if Bush had anything to hide he would never have filed the 144 disclosing his attention to do so in advance of the sales......

In the real world, this is a very, very, minor technical violation and the "speeding ticket" analogy is a good one.
