In a perfect world an audit committee of the BOD would be holding the CEO's feet to the fire regarding the preservation of shareholder's assets-requiring him to have a mastery of the company's financial condition, as well as an intelligent view of future risks. They would also hire and fire the CFO. Any company that wants to use the public's money for their capital base-as opposed to being private-should be expected by custom to comply with such a structure. Eventually this custom will come back into general practice, making the SEC directives and any federal laws that are passed redundant...
