Let's do the arithmetic:

2002 change from previous year: 0.57%
2001: 1.89%
2000: 3.40%
1999: 3.42%

Average annual change over 4 years: 2.32 percent

Maybe not flat (although that would appear to be the trend), but not a significant dilution either, at least compared to SEBL whose stock diluted about 35% over approximately the same period.

When SUNW's stock drops 90%, do you think it has something to do with a 1% increase in share %?

Share count increases like this are negligible. The motivation of employees is tremendously important. People love working for MSFT (everyone that I know). Options are a big reason that MSFT is as successful as they are.
