Even if most options that are issued are "under-water", there is still a value associated with those options given their "time value"

mindmeld, re purchasing a company with non-amortized option costs ...

In the event of the purchase of a company, a purchase date re-evaluation of the non-amortized option costs seems fair to me. But this situation is really beyond my scope of knowledge.

Maybe Biomaven and Exacctnt will lend a hand here.
