I have a different view about the nature of the 'real problem." IMO, it is the cultural value of uncritical thinking. Members of the BOD don't assume the responsibility of critically reviewing corporate information for the interests of the shareholders. Instead, they exhibit the values of the 'old boy' system where everyone goes along with 'the agenda' in an uncritical manner. Few question, and even fewer disagree. Thus, those who behave in an unethical or illegal manner are joined by a group of 'yes' men. Had members of boards undertaken their responsibilities, I doubt we would have had as many problems related to corporate governance as we have had recently.
