yes R.D., that is basically how I see it. The one caveat in employee stock options is that there is only dilution if the value goes UP. there would be no dilution if the value stays the same. that is kind of the beauty of options, no value unless you 'create' value.

This leads us to the positive case behind stock options. So long as option grants inspire 'innovation' greater than that of the dilution (as measured by long-run cash flow per diluted share), then issuing options is good for all shareholders, not just employees...
