Timba: Structure need not impair aggressiveness. I am currently taking my real estate license. Real Estate industry did a thorough overhaul on how fiduciary responsibilities need to be handled. The Board should be responsible for one client: Stockholders. It is their assets in terms of SE that they not safeguard.
Opertational side need to show that their actions won't break the fiduciary duties of the Board.
It is evident that we need full time Boards that gets into enough detail.
It is not fair to the CEOs to force them into mixing fiduciary responsibilities. You are asking too much of these people. And they are taking the easiest way out. Would you want the same attorney representing both the prosecution and the defendant?
