It's actually a pretty novel legal concept. If Martha's business was steel, or meatpacking, or in any number of other industry segments, the case would not be as strong. So much of MSO, however, is based on Martha's wholesome image. Given the importance of that image, I think a decent argument can be fashioned that the fact to the IMCL investigation was material (we all agree it was nonpublic up to a certain point).

This will be interesting to watch as it plays out.

[Enron aside - any guess whether Michael Kopper's plea today is giving Andrew Fastow a few sleepless nights? I haven't seen the plea agreement, but dollars will get you doughnuts that it requires him to cooperate with the ongoing investigation. Under the sentencing guidelines, he can get a downward departure in the computation of his sentence by cooperating. Just watch, his sentencing will be put off for some time until the investigation is finished.]
