A convert or warrant structure with no ceiling or limit on the number of shares it can be converted to. Usually set at some average trading price for some proceeding period. A defacto foreclosure if stock is trading at nominal prices and at minimum highly dilutive to existing shareholders.

Re: GEO: AVOID! If you look closely at the deal structure with the vultures, a sort of rolling, accelerating dilution has been set up (see my prior posts). I think they've trapped themselves, as the stock doesn't allow them a market to sell into. May be forced to do a private market sale, but I don't trust them to take care of other shareholders.
