Private Placement - Debenture

The TSX Venture Exchange has accepted for filing documentation with respect
to a non-brokered private placement announced Sept. 10, 2002:
Convertible debentur$140,000
Conversion price: convertible into units consisting of one common share
and one common share purchase warrant at 10 cents of
principal outstanding for a period of two years
Maturity date: Sept. 17, 2004
Warrants: each warrant will have a term of two years from the
date of issuance of the notes and entitle the holder to
purchase one common share. The warrants are exercisable
at the price of 10 cents per share.
Interest rate: 8 per cent per year
No. of placees: five placees
Insider: Fred Fabro $20,000, Blaine Bailey $15,000
Pursuant to corporate finance Policy 4.1, Section 1.11(d), the company must
issue a news release announcing the closing of the private placement and
setting out the expiry dates of the hold period(s). The company must also
issue a news release if the private placement does not close promptly.

Red what the insiders can do with that convert is to short the tho shares risk free and collect interest. Also, are the terms of the convet such that a number of shares will be converted at the then stock price to satisfy the loan? If so, what happens if THO price drops to one cent? How many shares of THO would have to be issued to satisfy the debt? What if there is reverse split of tho and the shares drop? How many shares would be isssued to cover the debt? what would that do to the current share holders % ownership? Ans: they'd be diluted out of the company.
