Property Agreement

The TSX Venture Exchange has accepted for expedited filing documentation
pertaining to an option agreement dated Sept. 20, 2002, between Solitaire
Minerals Corp. (the company) and Perry English, pursuant to which the
company may obtain a 100-per-cent interest in five mineral claims, 49 units
covering 1,960 acres located in the Connell township, Patricia mining
division, Ontario, known as the Gold Pickle property. In consideration, the
company will pay a total of $82,000 in staged yearly amounts on or before
fourth anniversary of the agreement, issue a total of 100,000 shares
(25,000 shares per year) and expend a total of $36,000 ($12,000 per year)
in Canadian exploration expenditures. The property is subject to a
2-per-cent net smelter royalty, which may be purchased at any time for
$1-million per 1 per cent of net smelter royalty.
The TSX-V has also accepted for expedited filing documentation pertaining
to an option agreement dated Sept. 12, 2002, between the company and Perry
English, pursuant to which the company may acquire a 100-per-cent interest
in 31 mineral claims located in Baird township, Red Lake mining division,
Ontario, known as the Baird property. In consideration, the company will
pay $79,700 in staged yearly amounts, issue a total of 100,000 shares
(25,000 per year), and incur a total of $36,000 in Canadian exploration
expenses all on or before July 10, 2005. The property is subject to a
2-per-cent net smelter royalty, which may be purchased at any time for
$1-million per 1 per cent of net smelter royalty.
