On August 28, 1998, John R. Clarke and Perpetual Growth Fund, a companyClarke's spouse purportedly owns, commenced an action against Fonix in federalcourt for the Southern District of New York. Clarke and Perpetual Growth assertclaims for breach of contract relating to certain financing Fonix receivedduring 1998. Specifically, Clarke and Perpetual Growth allege that they enteredinto a contract with Fonix under which Fonix agreed to pay them a commission of5% of all financing provided to Fonix by Southridge Capital Management or itsaffiliates. Clarke and Perpetual claim that they are entitled to commissionswith respect to approximately $3,000,000 of equity financing to Fonix in Julyand August 1998, and Fonix's offerings of Series D and Series E preferred stock,totaling together $12,000,000, in August and September 1998.
