CDU: Cardero Resource arranges $3-million private placement Cardero Resource Corp CDU Shares issued 16,139,974 Dec 13 2002 close $ 1.42 Friday December 13 2002 News Release Mr. Henk van Alphen reports CARDERO NEGOTIATES $3,000,000 NON BROKERED PRIVATE PLACEMENT Cardero Resource has arranged a non-brokered private placement of up to 2,307,693 units at a price of $1.30 per unit to raise gross proceeds of up to $3-million. Each unit will consist of one common share and one-half of a common share purchase warrant. One whole common share purchase warrant will be exercisable to acquire one additional common share at a price of $1.60 for a period of one year following the issuance of the units. The securities issuable in the private placement, including any common shares issued on the exercise of the warrants, will have a hold period of four months from the closing. A finder's fee is payable in respect of a portion of this private placement. The gross proceeds of up to $3-million are intended to be used to finance exploration programs on the company's Providencia and Chingolo projects in Argentina, its Mexican properties, and for property investigations and potential acquisitions, as well as for general working capital.
