The IRS Rules and Regulations and tax code are so complicated and convoluted because congress has so many loopholes in them. They will write in a provision and then effectively disqualify everyone except for the company that they had in mind when they started.
So you have a good point on the loop hole provisions, yet the same congressmen that made the tax code such a joke are the same ones that complain about it. Special interest will always find a way to come out on top.

Yes, this make sense, thanks for clarifying your point... as you've implied, loopholes are intended to encourage business growth, but I agree there are too many ways of abusing this system, as in abusing any system... I don't think I would have any problem closing out some loop holes, or at least mending them so they cannot be abused... thanks again for making your point clear...<g>
