Capital Alliance's debenture financing is non-brokered

Private Placement

Further to the TSX Venture Exchange Bulletin dated Dec. 24, 2002, the
bulletin should have read that the private placement was a non-brokered
private placement. The corrected bulletin is as follows:
The TSX Venture Exchange has accepted for filing documentation with respect
to a non-brokered private placement announced Nov. 28, 2002:
Convertible debentur$593,000 (U.S.)
Conversion price: Convertible during the last six months of the term into
units consisting of one common share and one common
share purchase warrant at 30 cents per unit.
Maturity date: First anniversary date of the issuance of the
debentures
Warrants: Each warrant entitles the holder to purchase one common
share at a price of 36 cents per share until the
maturity date
Interest rate: 15 per cent per year
Agent: Haywood Securities Inc.
Agent's fee: $5,000 (U.S.)
Finder's fee: $14,300 (U.S.) payable to Fiona Lo
Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the company must
issue a news release announcing the closing of the private placement and
setting out the expiry dates of the hold period(s). The company must also
issue a news release if the private placement does not close promptly.
