The reason being that people who can reach a win-win solution usually don't bring in the lawyers. Win-win is always preferable, of course.

What lawyers typically put together is a compromise where each party keeps the thing he wants most, and gives up something he still wants, but not as much. Thus the maxim.

The alternative is litigating, and letting the judge decide. That means one side wins all and the other loses all. Very similar to resorting to war.
