IJ, One key difference between bonds and floorless converts is that the holders of the latter have free reign to short the common and gain control of the company if they wish. Of course there is also a chicken and egg problem - the companies that resort to floorless deals are desperate to begin with, and so their subsequent decline might have as much to do with their weak fundamentals as any pressure from the convert holders.
