Both companies HQ'd in GA. Not surprising.

Both companies made the "ISM TOP 30" list. Not surprising, since every company that applied made it.

The color scheme of CC's current website is strikingly similar to the color scheme of the prior version of FSTW's website. Not sure whether to be surprised at that, or not.

Looks like FSTW paid approximately $2.9 mil for this company, its assets, its customers, and its alliances. 200,000 shares is about 9% dilution to the existing 2.2 mil shares.

An interesting transaction, for sure. FSTW's 18+ years history in the CRM business has yielded somewhere around 200 maintenance paying customers. CC's approximately 5 years in the CRM business has yielded 87 maintenance paying customers.

The technology base is more disparate than common. CC uses J2EE for their "new Browser-Based think client" web interface. FSTW uses a Windows based (.NET) architecture. I doubt there will be much leverage from that perspective. And, having reviewed the robust suite of applications available from CC, it's apparent that it would take a major effort to migrate those apps to .NET. So, it seems to me that the CC customer base will have the same fate as FSTW's prior Unix customer base. Hopefully, this time FSTW will provide a smooth transition to their solution(s).

Two "new" technology bases means that much capital was expended recently in both organizations.

It will be fun to watch whether the FSTW "CORE IDE" is as attractive to CC's customers and future prospects as RTB makes it out to be.

As with all mergers, this brings up some interesting operational considerations.

Like, what happens to the ongoing customization activities at new CC clients?

I wonder just how accretive it could be? This is the first week of the final month of the quarter. When will the merger be considered complete? If immediately, then at most, there will be one month's revenues added to the FSTW coffers. Also, one month's expenses. If it will be a few days or weeks before it's "official" ... what then?
