The merger agreement is signed and dated March 3, the first biz-day of the month, so FSTW gets to book March revenues and expenses. Interestingly, RTB insists that it is the norm in the software industry for the quarters to be back-end loaded. Does that explain why Q1 would be accretive? Most of a qtr's revenue, but only one month's expenses? Hmm. Did he say anything about whether it would be accretive in Q2 and the rest of the year?

PS: I was disappointed to find no financials in the 8-K filing as was promised on the call. The only hint we have at the real size of the company is that the earn-out requires CC to bring in just under $1.8 mil of license and maintenance revenues from it's customers over the coming ten months. That implies the sellers probably expected to do a tad over $2 mil this year. Sure would like to see the real numbers, though. I guess it was too much trouble to pull them out of the due diligence papers and attach them to the filing. Maybe the copier was broken.
