The Office of Chief Scientist of the Israeli Ministry of Trade and Commerce (OCS): The Company has undertaken to obtain a waiver to any and all rights that the OCS may have with respect to certain of the assets being transferred in the Asset Sale. Development of certain of the Company’s technologies was funded by grants made by the OCS to the Company's Israeli subsidiary TTR Technologies, Ltd. during 1997.
