HERBERT ABRAMSON ANNOUNCES PURCHASE OF SECURITIES OF ST ANDREW GOLDFIELDS LTD.
Herbert Abramson, through a private transaction, has acquired ownership of: (i) 7,907,438 common shares in the capital of St Andrew at a price of 20 cents per share representing approximately 6.9 per cent of the outstanding common shares; (ii) 5,333,333 warrants expiring on March 30, 2004, to purchase 5,333,333 common shares at an exercise price of 20 cents per common share at a price of one cent per warrant upon full exercise representing approximately 4.5 per cent of the outstanding common shares (assuming no other convertible securities are exercised); and (iii) two million warrants expiring on Aug. 28, 2004, to purchase two million common shares at an exercise price of 20 cents per common share at a price of one cent per warrant upon full exercise representing approximately 1.7 per cent of the outstanding common shares (assuming no other convertible securities are exercised).
Mr. Abramson and his associates owned or exercised control over a total of 4,110,734 common shares; a total of 1,333,333 warrants expiring on March 30, 2004, to purchase 1,333,333 common shares at an exercise price of 20 cents per common share; 1,838,700 warrants expiring on Feb. 14, 2005, to purchase 1,838,700 common shares at an exercise price of 17 cents per common share; a total of 660,000 options to purchase 660,000 common shares; and a convertible debenture in the principal amount of $13,000 convertible into units at the rate of one unit for each 15 cents principal amount of debenture, with each unit consisting of one common share and one-half warrant for a maximum of 86,667 common shares and 43,333 warrants to purchase 43,333 common shares. Each whole warrant entitles the holder to acquire one common share at a purchase price of 20 cents per common share.
After giving effect to this transaction, Mr. Abramson and his associates will own or exercise control over a total of 12,018,272 common shares on an undiluted basis representing approximately 10.6 per cent of the outstanding common shares. Mr. Abramson and his associates will own or exercise control over a total of (assuming the exercise of all convertible securities owned by them into common shares) 23,331,538 common shares representing approximately 17.06 per cent of the outstanding common shares (assuming no other convertible securities are exercised into common shares).
Mr. Abramson acquired his interest in St Andrew Goldfields for investment purposes. Mr. Abramson reserves the right to acquire further securities of St Andrew Goldfields depending on market conditions and other relevant factors.
